Agreement to Terms
These Terms and Conditions (“Terms”) form a binding agreement between you (“User,” “you,” or “your”) and RK Cloud Services Consultancy Inc (“we,” “us,” or “our”), operator of rkcloudsol.com (the “Site”), regarding your access to and use of our web-based application development services, including custom websites, SaaS apps, and related offerings (collectively, the “Services”). By accessing the Site or using the Services, you confirm you are at least 18 years old, have read, understood, and agree to these Terms. If you disagree, do not use our Site or Services.
Description of Services
We provide professional web development, including design, coding, testing, deployment, and maintenance of web applications and SaaS solutions. Services follow project specifications agreed in writing (e.g., proposals or contracts). Additional work requires mutual approval and may incur extra fees.
User Responsibilities and Prohibited Conduct
Provide accurate information, timely feedback, and necessary access (e.g., hosting credentials).
Use Services only for lawful purposes; do not transmit malware, infringe IP rights, or engage in spam, harassment, or illegal activities.
Comply with all applicable laws, including Digital Privacy Act (Canada, 2015)
Payments and Fees
Fees are outlined in proposals (e.g., milestones: 30% upfront, 40% mid-project, 30% on delivery). Payments via bank transfer or specified methods within 7 days. Late payments incur 1.5% monthly interest. We may suspend Services for non-payment.
Intellectual Property
We retain ownership of pre-existing tools, code libraries, and our IP. Upon full payment, you receive a non-exclusive, perpetual license to use the delivered work product, excluding our IP. You grant us a license to use your provided materials for Service delivery.
Warranties and Limitation of Liability
Services are provided “as is.” We warrant work will match specifications for 30 days post-delivery. No other warranties, express or implied. Our liability is limited to fees paid for the project; we are not liable for indirect damages (e.g., lost profits, data loss). Indemnify us against claims from your misuse.
Termination
We may terminate for breach (e.g., non-payment) with notice. You may terminate with 30 days’ notice, but fees for completed work are due. Upon termination, pay outstanding amounts; licenses end if unpaid.
Governing Law
These Terms are governed by laws of ONTARIO, Canada. Disputes resolved via arbitration in Ontario under Digital Privacy Act (Canada, 2015), or courts in Ontario.
